This End-User License Agreement ("EULA") is a legal agreement between you ("you" or "User") and Courtright Collective LLC ("Courtright Collective," "we," "us," or "our") for your use of the Aimtogro software and service (the "Software"). By accessing or using the Software, you agree to be bound by this EULA. This EULA supplements our Terms of Service and Privacy Policy; if there is a conflict, the Terms of Service control.
1. License grant
Subject to your compliance with this EULA and your active subscription, Courtright Collective grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own internal business purposes.
2. License restrictions
You may not, and may not allow others to:
- copy, modify, or create derivative works of the Software except as permitted by us;
- reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits;
- rent, lease, lend, sell, sublicense, or otherwise commercially exploit the Software;
- remove or alter any proprietary notices; or
- use the Software to build a competing product or to violate the terms of any connected third-party service.
3. Ownership
The Software is licensed, not sold. Courtright Collective and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set out in this EULA.
4. Connected services & third-party software
The Software interoperates with third-party services you choose to connect (such as Google, Microsoft, Intuit QuickBooks, and Stripe) and may include third-party components. Your use of those services and components is subject to their own terms, and we are not responsible for them.
5. AI features
The Software uses artificial intelligence to generate content. AI output may be inaccurate or incomplete and is provided for your assistance only; you are responsible for reviewing it before relying on or acting on it. The Software does not provide professional (legal, tax, accounting, or financial) advice.
6. Subscription & fees
Access to the Software requires an active subscription as described in our Terms of Service. Your license continues only while your subscription is active and in good standing.
7. Updates
We may provide updates, enhancements, or modifications to the Software from time to time. This EULA governs any such updates unless they are accompanied by separate terms.
8. Term & termination
This EULA is effective until terminated. It terminates automatically if you breach it or when your subscription ends. Upon termination, you must stop using the Software. Sections 3, 9, 10, and 11 survive termination.
9. Disclaimer of warranties
The Software is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Courtright Collective LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability relating to the Software will not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.
11. Governing law
This EULA is governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws rules.
